1. Scope and provider

These General Terms and Conditions ("Shop T&Cs") apply to contracts that consumers within the meaning of Section 13 of the German Civil Code (BGB) conclude with Spranz GmbH via the online shops metmaxx.de and blackmaxx.de designated for this purpose. A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or self-employed profession.

These Shop T&Cs do not apply to businesses, promotional product dealers and resellers where the contract is attributable to commercial trade; such contracts are governed by the separate B2B terms and conditions of Spranz GmbH. During the ordering process, Spranz may request suitable information to classify the contracting party.

2. Conclusion of the contract

Product presentations in the shop generally do not constitute a binding offer. The customer places products in the shopping cart, completes the ordering process and, by clicking the clearly labelled order button, submits a binding offer to conclude the contract. Before submitting the order, the customer can identify and correct input errors using the technical means provided in the shop.

The automatically sent order receipt confirmation only documents that the order has been received and does not yet constitute acceptance of the offer. The contract is concluded when Spranz expressly accepts the order in text form, ships the goods or – for a payment method expressly identified as acceptance in the ordering process – sends a payment request or payment confirmation identified as acceptance. The customer is informed before submitting the order which declaration constitutes acceptance in the respective payment process.

The language of the contract is German. The contract text is stored in accordance with the information provided in the shop and made available to the customer in durable form together with the contract information.

3. Prices, shipping costs and payment

All final prices shown to consumers include statutory VAT. Any additional delivery or other costs are clearly shown before the order is submitted. The payment methods offered in the respective shop and the payment terms communicated there before the order is submitted apply.

The final price agreed for the specific order will not be unilaterally increased after conclusion of the contract, unless mandatory law or an express individual agreement made after conclusion of the contract permits otherwise.

4. Product information and personalised goods

The product description and the characteristics expressly agreed in the contract are decisive for the quality of the goods. Images are for illustration purposes. Technically unavoidable differences between the on-screen display and the actual goods, in particular in colours, remain reserved, unless a specific colour, colour accuracy or other characteristic has been expressly agreed and provided that the statutory requirements for conformity of the goods with the contract are not restricted.

For personalised products, the customer is responsible for the content they enter or upload and for its accuracy. In particular, the customer must carefully check names, texts, numbers, motifs, logos, positioning and other design elements before submitting the order. Spranz may make technically necessary adjustments that do not significantly change the visible appearance. Significant visible changes will be agreed before production.

The customer may only use content they are entitled to use. Spranz may reject obviously unlawful content. Mandatory statutory warranty rights of the consumer are not restricted by these provisions.

5. Delivery and transfer of risk

The delivery area, delivery methods and the delivery period applicable to each item are set out in the information in the shop and in the contract information. Unless a different delivery period is stated in the offer, delivery takes place within five working days of conclusion of the contract; where prepayment has been agreed, within five working days of receipt of full payment. For personalised goods, the delivery period only begins once all information and approvals required for production have been provided and any agreed prepayment has been received in full. The applicable delivery period is communicated to the customer during the ordering process.

In a consumer sale, the risk of accidental loss and accidental deterioration of the goods generally passes only upon handover of the goods to the consumer or to an authorised third party designated by the consumer. The statutory exception for a carrier commissioned by the consumer themselves and not previously named by the trader remains unaffected.

Events beyond the control of Spranz may cause delays. Mandatory statutory rights of the consumer, in particular in the event of late or impossible performance, remain unaffected.

6. Right of withdrawal

Consumers are generally entitled to the statutory right of withdrawal for distance contracts. Details are set out in the separate withdrawal notice, which is provided to the customer before they submit their contractual declaration and in durable form.

There is no right of withdrawal for goods manufactured according to the customer's individual specifications that therefore cannot be resold or can only be resold with disproportionate effort, provided the requirements of Section 312g(2) No. 1 BGB are met. Whether a right of withdrawal is excluded is indicated for the respective item in the shop before the order is submitted. This may apply in particular to products individually printed, engraved or otherwise personalised according to the customer's specifications.

This exception to the right of withdrawal does not affect the customer's statutory rights in the event of defective goods.

7. Voluntary returns

Where no statutory right of withdrawal exists for an item or that right has already expired, any voluntary acceptance of returns by Spranz does not establish a general right of return. The conditions of any voluntary return offered in an individual case will be communicated to the customer separately. Statutory warranty and withdrawal rights remain unaffected.

8. Rights in the event of defects and guarantees

The statutory rights in the event of defects apply to consumers. These Shop T&Cs do not limit the statutory rights relating to defects. In particular, the statutory limitation periods and the special provisions on consumer sales apply.

An additional guarantee only exists if it is expressly designated as a guarantee and the guarantee conditions are communicated to the customer. Statutory rights in the event of defects exist independently of any guarantee and are not restricted by it.

9. Liability

Spranz is liable without limitation for intent and gross negligence, for damage resulting from culpable injury to life, body or health, for fraudulent concealment of a defect, under an expressly assumed guarantee, under the German Product Liability Act and in other cases of mandatory statutory liability.

In the event of a slightly negligent breach of an essential contractual obligation, liability is limited to the foreseeable damage typical for the contract. In the event of a slightly negligent breach of non-essential contractual obligations, liability is excluded to the extent permitted by law. The above limitations apply accordingly in favour of legal representatives, employees, agents and vicarious agents.

10. Retention of title

The delivered goods remain the property of Spranz GmbH until the purchase price has been paid in full.

11. Product safety and notices

Safety, warning, operating, care and disposal instructions supplied with the goods must be observed. Legally required markings and safety information must not be removed or impermissibly altered. In the event of safety-related incidents, the customer can inform Spranz via the contact channels stated in the shop or the legal notice (Impressum).

12. Data protection

Personal data is processed in accordance with applicable data protection regulations and the privacy policy available in the respective shop.

13. Dispute resolution and statutory consumer information

The contact details of Spranz GmbH, the legally required consumer information and information about any participation in out-of-court dispute resolution procedures can be found in the legal notice (Impressum) and in the consumer information provided before conclusion of the contract. These Shop T&Cs do not replace any separately required withdrawal notice or other mandatory information.

14. Applicable law

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law applies only insofar as it does not deprive them of the protection afforded by mandatory provisions of the law of the state in which the consumer has their habitual residence.

No exclusive place of jurisdiction deviating from the statutory provisions is agreed for consumers.

Should individual provisions of these Shop T&Cs be or become invalid, the validity of the remaining provisions remains unaffected; invalid provisions are replaced by the statutory provisions.

Annex: Withdrawal notice for contracts subject to withdrawal

Right of withdrawal

You have the right to withdraw from this contract within fourteen days without giving any reason.

The withdrawal period will expire after fourteen days from the day on which you acquire, or a third party other than the carrier and indicated by you acquires, physical possession of the goods.

If you have ordered multiple goods in one order and these are delivered separately, the withdrawal period will expire after fourteen days from the day on which you acquire, or a third party other than the carrier and indicated by you acquires, physical possession of the last good.

To exercise the right of withdrawal, you must inform us, Spranz GmbH, Ernst-Sachs-Straße 2, 56070 Koblenz, Germany, e-mail: bestellung@spranz.de, of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post or an e-mail). You may use the model withdrawal form below, but it is not obligatory.

To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Effects of withdrawal

If you withdraw from this contract, we shall reimburse to you all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than fourteen days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.

We may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is the earliest.

You shall send back the goods or hand them over to Spranz GmbH, Ernst-Sachs-Straße 2, 56070 Koblenz, Germany, without undue delay and in any event not later than fourteen days from the day on which you communicate your withdrawal from this contract to us. The deadline is met if you send back the goods before the period of fourteen days has expired.

You will have to bear the direct cost of returning the goods. Where goods cannot normally be returned by post due to their nature, the direct costs of return incurred will be stated specifically in the respective offer or before the order is submitted, or estimated at a maximum amount.

You are only liable for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics and functioning of the goods.

Exclusion or premature expiry of the right of withdrawal

The right of withdrawal does not apply to contracts for the supply of goods that are not prefabricated and for whose production an individual selection or specification by the consumer is decisive, or that are clearly tailored to the personal needs of the consumer.
